For the 2017-18 academic year, the Official Master's Degree in Corporate Law is only offered within the program for the Dual Master's Degree for Admission to the Bar and Corporate Law.

The Official Master's Degree in Corporate Law (11th edition), is a joint Master's between the University of Deusto and Comillas Pontifical University. It is among the best postgraduate programs in the field of Law both domestically and internationally and is organised by the Faculty of Law of Comillas Pontifical University (ICAI- ICADE) through the Center for Legal Innovation in Law (CID-ICADE) of the Faculty of Law.

For more than fifty years Comillas Pontifical University ICAI-ICADE has trained legal professionals of the highest level. The principles of excellence and ethical values guide Degree and Postgraduate studies at the Faculty of Law, selected by the Financial Times in November 2016 as one of the best 91 Postgraduate Law Schools in the world.

The Official Master's Degree in Corporate Law provides students with a training advantage as legal professionals, as it covers the material in greater detail than Degree programs and does so from a perspective that is in tune with economic and corporate law applications, helping the student better understand the commercial activity of the world of business.


Admission requirements:

Access to the programme of the Official Master's Degree in Business Law is conditional upon prospective students having been awarded an official Spanish university degree or another one awarded by a higher education institution which is part of the European Higher Education Area that entitles access to postgraduate studies in the relevant country.

Graduates of education systems which are not part to the European Higher Education Area may also access this Master's Degree without the need to have their degrees approved, with the prior verification by the University that they have an education level equivalent to the relevant Spanish official university degrees and they are entitled, in the degree's issuing country, to access postgraduate education. Under no circumstances shall access through this path imply that the previous degree held by the interested party has been approved or recognised for any purpose other than undertaking this Master's programme.

Admission criteria:

As a previous requisite, the student must have been admitted to the Master's Degree for Admission to the Bar in order to access the admission procedure of the Master's Degree in Business Law.

Admission criteria of the Master's Degree in Business Law are as follows:

  • Hold an official undergraduate's degree or equivalent with at least 180 credits of legal courses completed.
  • Have an average mark of Notable [remarkable] or equivalent, except if, due to their motivation, career and professional experience, admission is deemed to be appropriate;
  • Certify a sufficient level of English; specifically, concerning application to legal matters. Level of English may be certified either by submitting the
    relevant justification documents of the level requested, or by completing an ad hoc exam, or via de relevant personal interview.
  • Other aspects may be also taken into account, such as certifiable knowledge of other languages or the student's professional experience.

Admission process:

The admission process to the Programme comprises the following phases:

  • Submission of the documents required; this will include personal and academic data which will be set out in the relevant admission request form.
  • Assessment, on the one hand, of the level of knowledge and understanding of the courses comprising the Degree in Law, for successful completion of the Master's Degree and, on the other hand, of their analysis capacity, oral understanding and learning progress, thus making it possible to determine whether their skills match those required for the programme.
  • Personal interview with the academic board of each School.

In order to make a decision on the admission of an applicant, the admission criteria will be as follows:

  • Approx. 60 % academic record, 10% knowledge of English and remaining 5% to other certified milestones.
  • 25% Personal interview.

Assessment of the request for admission will be obtained from joint assessment of the different requirements. Final admission is established in function of the position of the candidate with regard of global assessment of their academic record with respect to the other candidates and with the number of places available.

Admission to the Master's Degree in Business Law of graduates, pursuant to education systems external to the European Higher Education Area will not imply, under any circumstances, changes on the academic effects regarding the previous degree held by the interested party, or recognition thereof for purposes other than taking the Master's programme courses.

Admission to the Master's Programme in Intellectual Property is undertaken by the Dean of the Faculty of Law, upon the prior non-binding report issued by the Admissions Sub-committee, comprised by the Master's Director and Coordinator.

Admission application filing period:

The deadline for submission of applications starts in January and matches that of the programmes of the Master's Degree for Admission to the Bar

Timetable:

As this programme is offered together with the Master's Degree for Admission to the Bar, in-person classes of the Master's Degree in Business Law are taught on Monday morning and afternoon; and on Tuesday morning.

Duration

Duration is 15 months: in-person lessons will take place from October to June; internships and the final project in the next academic year (September-January).

Fees:

The fees of the Programme of Master's Degree for Admission to the Bar + Master's Degree in Business Law come up to €25,875, itemised as follows:

First academic year: €16,967.20

  • Enrolment fee for the entire academic year and registration fee: €2,567.20.
  • Ten monthly payments amounting to 1,440 Euros each

Second academic year: €8,907.78

  • Enrolment fee for the entire academic year and registration fee: €1,347.78.
  • Five monthly payments amounting to 1,512 Euros each.

If you are alumni of Comillas or Deusto, you will get a 10% discount, which will be applied to the last monthly payment of each academic year.

OBJECTIVES

  • Identifying and applying the relevant standards in a sensible manner to the various situations that arise in the company's day-to-day activities, regardless of the sector that is affected by the provisions.
  • Properly pinpointing and interpreting the financial and legal scope in each of these situations, noticing their interrelationships and the effects they have on the company or its shareholders.
  • Understanding and being able to develop and interpret the main legal documents involved in the company's daily operations.
  • Understanding and employing accounting and financial statement preparation and analysis techniques as well as basic management tools.
  • Acting in accordance with the legal professional code of ethics.
  • Enhancing the students' ability to write reports and opinions, both individually and in groups, as well as making presentations to audiences and defending their own arguments.

SPECIFIC SKILLS

  • CE1 - Know and be able to integrate the defence of customers' rights within the framework of the legal assistance systems, at national and international levels, and learn to choose the right strategy and the correct techniques for defending it, taking into account the demands of the different areas of professional practice.
  • CE2 - Know the different techniques for reconciliation of interests, and be able to find solutions to problems by using methods other than court proceedings.
  • CE3 - Prepare the corporate documents required from the incorporation of a company until dissolution thereof, for the proper management and adaptation of same and of its different bodies, be able to state in a proper manner the components of same, and specifically the premises and conclusions, using all necessary justification documents for that purpose
  • CE4 - In-depth development of advanced knowledge about the legal regulation of the different corporate forms, operation of the different corporate structures and bodies, powers, limits and responsibilities for the actions of the corporate managers, and get to know the different contractual relationship structures of the company with third parties.
  • CE5 - In-depth knowledge, know to analyse its most advanced problems and interpret in an adequate, strategic manner, the financial statement of a company, and be able to determine which are the obligations of the company regarding accounting and financial statements, by applying the relevant operational and accounting aspects when property changes and corporate process having a financial impact occur in the company.
  • CE6 - Get to know the elements comprising the bankruptcy grounds, its specific procedures and solutions to problems included therein to make adequate measures for the bankruptcy solutions presented in the companies.
  • CE7 - Advanced knowledge of the legal regime of the legal tax relationship and of its key concepts, by applying the tax rule to the different facts, acts or transactions that are relevant for taxation purposes.
  • CE8 - Understand and assess the legal regime of most important taxes of the tax system: and special, such as Business Tax and Value-Added Tax, and apply the appropriate penalty regime by means of the necessary procedures for settlement thereof.
  • CE9 - Obtain an advanced knowledge about the labour-relationships system and of that of the Social Security and about the operation of both, by identifying aspects which are directly related to Business Law and establishing links between them so that company's resources are optimised.
  • CE10 - Know and identify the most advanced legal possibilities of different work agreements, arrangement of working time, as well as the subjective and objective specific circumstances of individual relationships in the company, and be able to choose the most adequate solution, taking into account at all times the possibilities of collective relations, especially those of collective bargaining at company level.
  • CE11 - Analyse, in light of a given factual situation, all the possible answers the legal system offers in the specific area of Business Criminal Law, and be able to use the results from that analysis for the development of effective counsel to concerned individuals.
  • CE12 - Understand statutory and structural modifications of capital companies, and know the potential structural modifications of capital.
  • CE13 - Understand and assess the economic-financial situation of an organisation, and know in depth the legal instruments of the different forms of company financing and structure of the financial system, and know which are the market and financial system's agents.
  • CE14 - Be able to analyse the resources owned by a certain organisation and, basically, the possible strategies that can be used in a given situation, paying particular attention to innovation strategies, and understand and assess correctly the strategic decisions adopted by companies in different scenarios, with the support of tools used as part of the business policies, to understand the global economic-financial situation of a company.
  • CE15 - Know the specific principles and techniques for effective management of company's human resources, and be able to apply different techniques for recruiting and selection of employees, with their relevant implications, as well as the latest trends and legal problems in management, assessment and compensation of performance.
  • CE16 - Be familiar with the regulatory framework of the corporation process, in order to carry out counsel duties, especially in complex situations in which different companies are involved with international implications; and be able to assume representation and defence before different courts and in the different alternative dispute resolution systems for individual and collective conflicts, mainly in the labour arena.
  • CE17 - Gain a deep legal insight on the regulatory regime of company's civil responsibility, getting a global overview of the different scenarios in which damage events can arise, of the responsibility and its assessment.
  • CE18 - Know the theoretical approaches of Competition Law that have a direct impact on business law, and be able to apply them to solve the conflicts arising in this field, using adequate data and instruments technically.
  • CE19 - Know the types of contracts used for public sector hiring, its elements, applicable legal regime and apply the administrative-financial intervention mechanisms, especially in certain specially regulated sectors.
  • CE20 - Gain advanced legal insight on company hiring, analyse in a rigorous, critical manner the most widely used commercial contracts, and master the legal concepts about observance and non-observance of same in a globalisation environment.
  • CE21 - Apply the knowledge gained to new or less known business legal environments, and define solutions which are correct from the legal point of view for a real legal-business problem.

Graduate profile

Graduates of the University Master's Degree in Business Law of Universidad de Deusto are experts in Business Law and have developed a practical, comprehensive view, based on ethical values, of the different areas that converge on it.

That is why the programme offers graduates a comprehensive reinforcement and a greater level of specialisation of knowledge gained in the Degree in Law, by means of specialised training in Business Law, Commercial contracts, Capital transactions, Banking and stock market Law, Labour Law, Tax and Fiscal Law, Competition Law, Intellectual Property and Company Litigation, among others.

All this without relinquishing the development of other competencies different than academic ones, such as discipline, decisiveness, team work, capacity to adapt, sense of service and generosity, solidarity spirit... and the observance of ethical standards applicable to each case.

Therefore, graduates develop a great capacity to identify, analyse, reflect and solve complex legal issues arising within the scope of business organisations.

The faculty is comprised of active professionals having extensive academic and professional experience (registrars, notaries public, managers of legal advice firms working for major companies or lawyers working for the most prestigious law firms, among others); this provides graduates with a practical, current approach.

In sum, graduates of the University Master's Degree in Business Law of Universidad de Deusto have a solid training for their development and promotion, both regarding personal and professional aspects, which allows them to fulfil their professional goals within the business arena.

Students who successfully complete this Master's programme will be prepared to work both at law firms specialised in company counselling and at those companies.

On the other hand, the Master's degree in Business Law gives access to Doctorate studies.
